ANTSHOP E-Commerce Platform Merchant Agreement

Dear Supplier/Store Owner,

Welcome to join ANTSHOP E-Commerce Platform (hereinafter referred to as “the Platform”) for selling your products! To ensure that the rights and responsibilities of both parties are clearly defined, we kindly ask you to carefully read and agree to the following ANTSHOP E-Commerce Platform Merchant Agreement (hereinafter referred to as “the Agreement”). By clicking the "Agree and Register" button, you acknowledge that you have fully understood and agreed to comply with the terms outlined in this Agreement, which will become a legally binding contract between you and ANTSHOP E-Commerce Platform.

Article 1: Confirmation and Acceptance of the Terms

1.1 The ownership and operation of all services provided by the Platform belong to ANTSHOP E-Commerce Platform. The Merchant agrees to all terms of this Agreement and must complete the registration process to officially become a user of the Platform. The Merchant confirms that this Agreement is a contract governing the rights and obligations of both parties and remains valid at all times unless mandated by law or otherwise specially agreed upon.

1.2 By clicking "Agree and Register," the Merchant confirms that they possess the necessary legal capacity to enjoy the Platform’s services, operate a store, and carry out transactions independently while assuming full legal responsibility.

1.3 If the Merchant is under 18 years of age, they may only use the Platform under the supervision of their parent or legal guardian.

1.4 ANTSHOP E-Commerce Platform reserves the right to refuse service, close Merchant accounts, delete or modify content, or cancel orders within the legal scope permitted by the laws of the People's Republic of China.

Article 2: Services Provided by the Platform

2.1 ANTSHOP E-Commerce Platform provides Internet-based services to Merchants, in accordance with the laws of the People's Republic of China. Merchants may use the Platform’s services only after fully agreeing to the terms of this Agreement and the Platform’s regulations.

2.2 The Merchant is responsible for providing their own equipment and covering the following costs:

• Internet access devices, including but not limited to computers, modems, and other necessary devices;
• Internet-related expenses, including but not limited to network access fees, device rental fees, and mobile data fees.

Article 3: Merchant Information

3.1 The Merchant must provide truthful, accurate, complete, and valid registration information. If the registration information changes, the Merchant must promptly update it. If the Merchant provides illegal, false, or incomplete information, they will bear all related responsibilities and consequences, and the Platform reserves the right to terminate the Merchant’s access to services.

3.2 The Platform will strictly protect the privacy of the Merchant’s personal information, including but not limited to real name, address, phone number, and email, unless the Merchant has authorized the disclosure or as required by law.

3.3 Upon successful registration, the Merchant will receive a username and password for their account. The Merchant should carefully manage these credentials. If any unauthorized use or security vulnerabilities are discovered, the Merchant must immediately notify the Platform and report the incident to the authorities.

3.4 The Merchant agrees that the Platform has the right to use the Merchant’s registration information, username, and password to access their account for legal purposes, including but not limited to evidence preservation.

3.5 The Merchant shall not lend their account to others for use; otherwise, the Merchant will bear full responsibility and will be jointly liable with the actual user.

Article 4: Merchant Obligations

4.1 The Merchant agrees not to use the Platform for any illegal activities, including but not limited to money laundering, theft of trade secrets, or personal information. The Merchant must comply with national laws and regulations.

4.2 The Merchant must ensure that the information about the products listed on the Platform is truthful. If any counterfeit or illegal products are found, the Platform reserves the right to remove the product from sale.

4.3 The Merchant must update their store information in a timely manner. If the information changes, the Merchant must notify the Platform promptly.

4.4 The Merchant agrees to be responsible for fulfilling all obligations related to transactions, including but not limited to shipping, returns, warranties, and complaints.

4.5 The Merchant agrees not to engage in any activities that infringe on intellectual property rights or violate national laws, including the sale of counterfeit goods, false advertising, etc.

Article 5: Product Information

5.1 Product prices, quantities, availability, and other details on the Platform may change at any time without prior notice. While the Platform strives to ensure accuracy, due to various technical factors, the product information displayed may contain errors or delays, which the Merchant acknowledges and accepts.

5.2 In the event of product information errors, the Platform reserves the right to correct the information and may provide rewards for error correction depending on the situation.

Article 6: Orders

6.1 The Merchant should confirm the order details, including the product name, price, quantity, specifications, and shipping information. If the recipient is not the Merchant themselves, the recipient’s actions are considered the Merchant’s actions, and the Merchant will be jointly responsible for any legal consequences.

6.2 After the order is placed, the buyer can check the order status at any time. The Merchant must fulfill their obligations to ship and provide customer service.

6.3 If a product is out of stock or the transaction cannot be completed, the Merchant must notify the buyer promptly and cancel the order. The buyer has the right to cancel the order if the product is unavailable.

Article 7: Delivery

7.1 The Merchant will deliver the goods to the address provided by the buyer. The delivery time shown on the Platform is an estimate based on stock, processing, and shipping times.

7.2 The Merchant will not be held responsible for delayed deliveries caused by the following circumstances:

• Incorrect or incomplete address information provided by the buyer;
• Failure to sign for delivery at the destination;
• Force majeure events such as natural disasters or traffic control.

Article 8: Dispute Resolution

8.1 If the Merchant and buyer have a dispute during the transaction process, both parties can choose from the following dispute resolution options:

• Negotiation between the parties;
• Using the dispute resolution services provided by the Platform;
• Seeking mediation through a consumer association or other legally recognized mediation organization;
• Filing a complaint with relevant administrative authorities;
• If an arbitration agreement exists, submitting the dispute to arbitration;
• Filing a lawsuit with the people’s court.

Article 9: Limitation of Liability and Disclaimer

9.1 Unless otherwise specified in writing, all information, content, materials, products (including software), and services provided on the Platform are offered on an "as-is" and "as-available" basis.

9.2 ANTSHOP E-Commerce Platform does not make any explicit or implicit warranties regarding the operation of the Platform or the accuracy, reliability, or completeness of the information, content, materials, products, or services offered.

The Platform does not guarantee that the server or emails from the Platform are free from viruses or harmful components.

In case of force majeure or other uncontrollable events causing system failure or transaction disruption, ANTSHOP E-Commerce Platform will make reasonable efforts to assist in resolving the issue but assumes no liability for lost data or transaction failure.

Article 10: Agreement Updates and Merchant Obligations

10.1 The Platform reserves the right to modify this Agreement at any time in response to changes in laws or operational needs. The updated Agreement will take effect as soon as it is posted on the Platform, replacing the previous version. Merchants are advised to review the updated Agreement regularly.

10.2 If a Merchant does not agree with the updated terms, they should immediately stop using the Platform’s services. Continued use of the Platform after the update constitutes acceptance of the new terms.

Supplementary Provisions

1. ANTSHOP E-Commerce Platform respects the legal rights of Merchants and consumers. This Agreement and the various rules and announcements on the Platform are designed to provide better and more convenient services to users. The Platform welcomes feedback and suggestions from Merchants and the public and will adjust the Agreement and rules as necessary.

2. Merchants should pay special attention to the highlighted clauses in this Agreement to ensure full understanding.

3. By clicking the "Agree and Register" button below, the Merchant fully accepts all terms of this Agreement. Before clicking, please carefully review and ensure that you have fully understood the entire Agreement.
